As a subcontractor negotiating a contract, have you ever wondered, “What if the GC is insisting on a pay-if-paid clause? Are there exceptions or modifications that provide my company protections when the general contractor is not getting paid for our work due to causes outside our control?”  Or “GCs are requiring us to waive our rights under prompt payment laws in our subcontracts. Should we be doing that? Are such waivers enforceable?" 

To manage risks as best as possible, this course will help subcontractors identify which clauses in their subcontracts are critical for close review and negotiation.

Attendees will learn about the following clauses: 

  • Unforeseen site conditions and site investigation obligations
  • No damages for delay
  • Pay-if-paid
  • Price escalation
  • Material/equipment shortages
  • Waiver of consequential damages
  • Indemnification
  • Acceleration and resequencing
  • Liquidated damages
  • Change orders/claims
  • Recovery for delays

After this session, attendees will be able to:

  • Identify which clauses in the subcontract require careful review.
  • Learn ways to modify these clauses to more fairly allocate risks and responsibilities.
  • Implement strategies to successfully negotiate modifications with GCs.

This is a group-internet based program at the Intermediate Level. No prerequisites or advanced preparation required. A basic understanding of construction contracts is recommended.
